General Terms and Conditions of Mondo Gate AG

Translation Notice This is a convenience translation of the German-language "Allgemeine Geschaeftsbedingungen der Mondo Gate AG" (Stand: Maerz 2026). In the event of any discrepancy between this English translation and the German original, the German version shall prevail. The German original is the sole legally binding version.
Section 1 — Scope of Application
These General Terms and Conditions govern the activities of Mondo Gate AG ("Mondo Gate") as a platform provider with regard to customer acquisition, frontend services (provision of services) and marketing (own branding and brand presence) ("Platform Services"), the crypto custody services provided by the crypto custodian Tangany GmbH, Agnes-Pockels-Bogen 1, 80992 Munich ("Tangany"), the payment services provided by PayCenter GmbH, Clemensaenger Ring 24, 85356 Freising ("PayCenter"), as well as the purchase and sale services for crypto assets provided by BTC Direct Europe B.V., Kerkenbos 1025, 6546 BB Nijmegen, Netherlands, registered with the Dutch Chamber of Commerce under number 59383607 ("BTCDirect"), and the services that Mondo Gate provides in its own name.
The contracting parties to this agreement are exclusively the customer and Mondo Gate. For the safekeeping of private keys of cryptocurrencies and the management of a shared wallet of the customer in a wallet (the "Customer Wallet"), the customer enters into a separate agreement with Tangany. The legal relationship between the customer and Tangany is governed exclusively by the respective contractual terms, in particular the General Terms and Conditions of Tangany ("Tangany Terms of Use").
For payment services, the customer likewise enters into a separate agreement. The contracting parties to this agreement are exclusively the customer and the e-money institution PayCenter. This legal relationship is governed exclusively by the respective contractual terms, in particular the Terms and Conditions of PayCenter.
For the purchase and sale of crypto assets via the trading function integrated in the myGate App, the customer enters into a separate agreement with BTCDirect. BTCDirect acts as the contractual partner and counterparty of the respective purchase or sale transaction. BTCDirect conducts its own KYC process, independent of Mondo Gate; identification data collected by Mondo Gate is not shared with BTCDirect. The legal relationship between the customer and BTCDirect is governed exclusively by the respective contractual terms, in particular the Terms of Service of BTCDirect.
Section 2 — Activities of Mondo Gate / Custody Structure / E-Money Services / Crypto Trading
Mondo Gate serves solely as a platform for third-party offerings, particularly in the area of financial services and decentralized finance (DeFi) related to cryptocurrencies, such as those provided by Tangany GmbH.Through its online media, Mondo Gate provides outsourced services as defined in § 25b of the German Banking Act (KWG) on behalf of a full-service bank. A partnership with a full-service bank, operating as a CRR credit institution supervised by the Federal Financial Supervisory Authority (BaFin) and the European Central Bank, is planned for this purpose.
Mondo Gate does not, directly or indirectly, assume custody of crypto assets. The custody of crypto assets acquired or sold via Mondo Gate is carried out exclusively by Tangany as the direct contractual partner of the respective customer.
Payment services are provided exclusively by PayCenter as the direct contractualpartner of the respective customer.
The purchase and sale of crypto assets as well as the setup of crypto savings plans are carried out exclusively via BTCDirect as the direct contractual partner of the respective customer. BTCDirect is a crypto service provider licensed by the Dutch Financial Markets Authority (AFM) (License No. 41000009). Mondo Gate merely provides the technical interface (widget or server connection) and is not itself a party to the purchase or sale transaction. Pricing, execution and settlement of transactions are the sole responsibility of BTCDirect.
Section 3 — Amendments to the General Terms and Conditions
a)Amendment Oaer Amendments to these Terms and Conditions and Special Conditions shall be oaered to the customer in text form no later than two months before the proposed date of their entry into force. If the customer has agreed with Mondo Gate on an electronic communication channel within the business relationship (e.g. via the App), amendments may also be oaered via this channel.
b) Acceptance by the Customer The proposed amendments shall only become eaective if the customer consents, including by way of the deemed consent mechanism set out below.
c) Deemed Consent The customer's silence shall only be deemed consent if:
- the amendment is made due to changed legal or regulatory requirements, and
- the customer has not objected before the amendment takes eaect.
The customer shall be expressly informed in the amendment oaer of the consequences of their silence.
d) Exclusion of Deemed Consent Deemed consent shall not apply to amendments:
- to the main performance obligations or charges for main services
- involving charges exceeding the originally agreed level
- that are equivalent to a new contract or substantially alter the balance of performance and consideration
e) Right of Termination In the event of an amendment by deemed consent, the customer may terminate the contract immediately and free of charge. This right shall be noted in the oaer.
Section 4 — Power of Attorney / Lien / Right to Information
The customer authorises Mondo Gate to make declarations of intent to Tangany with respect to the custody relationship, in particular for the transfer of crypto assets to third parties. In the event of termination of the custody relationship, Mondo Gate may act as authorised recipient.
Mondo Gate acquires a lien on all claims of the customer against Tangany with respect to the custodied crypto assets to secure its own claims. Mondo Gate is entitled to notify Tangany of this pledge and to obtain information about wallet balances.
Mondo Gate is not obligated to provide the customer with information about wallet balances, as it is not the custodian. Such information is provided by Tangany.
Section 5 — Cryptocurrencies
Cryptocurrencies are electronic values that are generated in a decentralised manner and encrypted. They do not constitute legal tender and do not establish a claim against an issuer within the meaning of the German Payment Services Supervision Act (ZAG).
Investments in cryptocurrencies are highly speculative and involve risks up to and including total loss. These are not products of Mondo Gate; no investment advice or brokerage is provided.
Section 5a — Purchase, Sale and Savings Plans for Crypto Assets
(1) The purchase and sale of crypto assets as well as the setup of crypto savings plans via the myGate App are carried out by BTCDirect as an independent service provider. Mondo Gate merely facilitates this service via a technical interface integrated into the App.
(2) For purchase orders and savings plans, order placement and execution take place via a widget from BTCDirect embedded in the myGate App. For sale orders, the order is forwarded via a server-side connection to BTCDirect. In both cases, BTCDirect is the sole contractual partner of the transaction and determines pricing, execution timing and conditions.
(3) In purchase and sale transactions, Mondo Gate does not carry out any independent pricing, does not aggregate orders, does not exercise any discretion in order execution and does not generate any margin from the transactions. Prices displayed by BTCDirect are indicative and may change until final execution.
(4) All transactions processed via BTCDirect are subject to the Terms of Service and Pricing Policy of BTCDirect, which must be reviewed and accepted in the App before first use of the trading function.
(5) BTCDirect provides its services on a non-custodial basis. Crypto assets acquired through a purchase are credited to the Customer Wallet at Tangany. In the event of a sale, crypto assets are transferred from the Customer Wallet at Tangany to BTCDirect. The payout of sale proceeds is made by BTCDirect via the Dutch full-service bank bunq B.V. to a reference account previously specified by the customer (e.g. the e-money account at PayCenter or another bank account of the customer).
(6) Mondo Gate shall not be liable for damages arising from the execution or nonexecution of purchase, sale or savings plan orders by BTCDirect, in particular not for price changes between order placement and execution, technical disruptions on the part of BTCDirect or the temporary unavailability of certain crypto assets.
Section 6 — Technical Requirements
Access to the services is currently available exclusively via the myGate App. Other access channels are not supported.
Upon setting up an account with Mondo Gate, all communication between Mondo Gate and the customer in connection with the services referred to in Section 4 shall take place exclusively in electronic form via the App or by email, unless expressly stated otherwise. Declarations shall not be sent to the customer additionally in paper form, unless there is a legal obligation to do so.
Mondo Gate shall not be liable for damages arising from this communication channel.
Section 7 — Legal Registration Requirements
Only fully legally competent natural persons who belong to one of the following groups may register to use the myGate App:
a) German nationals with permanent residence in the Federal Republic of Germany or another Member State of the European Union;
b) Nationals of a Member State of the European Union or of Ukraine with permanent residence in the Federal Republic of Germany.
Section 8 — Customer Cooperation and Due Diligence Obligations
The customer is obligated to notify Mondo Gate immediately of any changes to name, address or email address. The customer must regularly check notifications in the App and by email.
To secure certain transactions, the use of a one-time password generator such as Google Authenticator may be employed. The use of two-factor authentication (2FA) is expressly recommended.
Username and password must be kept secure and must not be stored together or be easily determinable.
In the event of suspected misuse, Mondo Gate must be notified immediately. Mondo Gate may block the account in such cases. If unauthorised use is suspected, access to the wallet may be temporarily blocked.
Section 9 — Risk Disclosures Regarding Cryptocurrencies; No Investment Advice or Brokerage

Investment in cryptocurrencies is highly speculative and may result in total loss. Mondo Gate is not an issuer of cryptocurrencies.
Use of the App is at the customer's own risk. Mondo Gate provides neither investment advice nor investment brokerage. Information provided does not constitute an individual recommendation.
Section 10 — Registration
Registration to use the myGate App takes place via the respective app store (Google Play or Apple App Store). The customer downloads the App and follows the instructions for account opening.
Email address verification is carried out via a confirmation link. By confirming registration, these General Terms and Conditions are accepted. The email address used must be personally assigned to the customer.
Section 11 — Authentication for the Customer Bank Account and for Custody
The data required for opening the e-money account at PayCenter and for the wallet at Tangany are collected as part of a preceding KYC process. Identification takes place exclusively via PostIdent, either at a branch, via eID or via video identification.
Following successful KYC, the wallet and e-money account are automatically opened and immediately available for use.
For the use of BTCDirect's trading services, separate identification directly with BTCDirect is required. BTCDirect conducts its own KYC process, independent of Mondo Gate. Identification data collected during the PostIdent process at Mondo Gate is not shared with BTCDirect. Verification with BTCDirect takes place directly between the customer and BTCDirect within the myGate App.
Section 12 — Services of Mondo Gate
The myGate App provides direct access to the services of Tangany, PayCenter and BTCDirect. Financial services, payment services and crypto trading services are provided exclusively by these partners — not by Mondo Gate.
Access to Tangany:
- Setup of a wallet
- Receiving and sending crypto assets
Access to PayCenter:
- Setup of an e-money account (IBAN-based)
- Use of SEPA payment functions
- Use of the optional Mastercard
Access to BTCDirect:
- Purchase of crypto assets (individual purchase)
- Sale of crypto assets
- Setup and management of crypto savings plans (recurring purchases)
Mondo Gate protects access to the App through modern security mechanisms but does not custody private keys, hold customer funds or conduct trading operations on its own account. Private keys are secured exclusively by Tangany. Customer funds are held exclusively at PayCenter. Purchase and sale transactions are executed exclusively by BTCDirect.
Section 13 — Prices and Costs, Price and Service Schedule
The applicable prices, fees and charges for the use of services within the myGate App are set out in the current Price and Service Schedule, which is available for review in the App before entering into the contract.
For purchase and sale transactions via BTCDirect, the prices and spreads according to BTCDirect's Pricing Policy apply. These are viewable in the App before each transaction. Mondo Gate does not charge any additional trading fees on the prices oaered by BTCDirect.
Amendments to the Price and Service Schedule shall be made in accordance with Section 3 of these General Terms and Conditions. Payment is made by default via direct debit from the customer's account at PayCenter. The customer may revoke a direct debit within 8 weeks of the charge.

Section 14 — Data Protection
The current privacy policy is available at all times in the myGate App.
Section 15 — Liability of Mondo Gate
Mondo Gate endeavours to provide continuous access to the App but cannot guarantee permanent availability (e.g. in the event of DDoS attacks or maintenance work).
Mondo Gate shall not be liable for damages arising from the use of the App, except in cases of intent, gross negligence or injury to life, body or health.
In particular, Mondo Gate shall not be liable for damages arising from the provision or non-provision of services by Tangany, PayCenter or BTCDirect. The respective contractual terms and liability provisions of the partners apply exclusively to such services.
Section 16 — Rights of Termination
Either party may terminate the business relationship with one month's notice to the end of the quarter. Termination may be made in text form or via the myGate App.
Mondo Gate also acts as receiving agent for terminations addressed to Tangany, PayCenter and BTCDirect.
Good cause for extraordinary termination by Mondo Gate exists in particular in the event of violations of the Terms and Conditions, deception or revocation of required consents.
Section 17 — Reciprocal EWect and Settlement of Termination
Upon termination of the agreement with Mondo Gate, the agreements with Tangany, PayCenter and BTCDirect shall also be deemed terminated, insofar as they were concluded via the myGate App. Settlement shall take place in accordance with the provisions of the respective partners. Unexecuted purchase or sale orders as well as active savings plans at BTCDirect shall be discontinued upon the eaective date of termination.
Section 18 — Applicable Law
German law shall apply exclusively, to the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG).
Section 19 — Mandatory Information Pursuant to ZAG / Payment Services
(1) The e-money account is maintained by PayCenter GmbH, Clemensaenger-Ring 24, 85356 Freising. Commercial register: Local Court Munich HRB 194018, VAT ID: DE280854527. PayCenter GmbH is an e-money institution licensed by BaFin (Section 11 ZAG).
(2) Mondo Gate AG acts as an e-money agent of PayCenter GmbH within the meaning of Section 1(9) ZAG. Account opening is performed by the user in the myGate App after successful identification via PostIdent and selection of a plan.
(3) This is an e-money account on a credit balance basis that is generally not covered by the statutory deposit guarantee scheme (Section 1 EinSiG).
(4) The Terms and Conditions of PayCenter GmbH apply to the account. These areavailable for review in the App and must be accepted before account opening.
(5) Complaints may be directed to PayCenter GmbH directly.
Section 20 — Mandatory Information on Crypto Trading / BTCDirect
(1)The purchase and sale of crypto assets as well as the setup of crypto savings plans via the myGate App are carried out by BTC Direct Europe B.V., Kerkenbos 1025, 6546 BB Nijmegen, Netherlands. Chamber of Commerce (KvK): 59383607, VAT ID: NL8534.52.374.B01. BTCDirect is a crypto service provider licensed by the Dutch Financial Markets Authority (AFM) (License No.: 41000009).
(2) BTCDirect acts as the counterparty of the customer in every purchase and sale transaction. Transactions are subject to the regulatory requirements of the Markets in Crypto-Assets Regulation (MiCAR) of the European Union.
(3) BTCDirect provides its services on a non-custodial basis. Custody of acquired crypto assets is not provided by BTCDirect but by Tangany under the separate custody agreement. Payout of sale proceeds is made by BTCDirect via the Dutch full-service bank bunq B.V. to a reference account specified by the customer.
(4) BTCDirect conducts its own Know Your Customer (KYC) process, independent of Mondo Gate. Identification data collected during the PostIdent process at Mondo Gate is not shared with BTCDirect. The customer and BTCDirect are in a direct identification relationship in this regard.
(5) The Terms of Service and Privacy Policy of BTCDirect apply to the trading services. These are available for review in the App and must be accepted before first use of the trading function.
(6) Complaints regarding trading services may be directed to BTCDirect (support@btcdirect.eu).
